Terms of Service

These Terms of Service ("Terms") govern your use of Chili Technology (chiliths.com), operated by Chili Technology Inc. By accessing the site or engaging us for a service, you agree to these Terms.

1. Acceptance of terms

You must be at least 18 years old and authorised to bind your organisation in order to engage our services. We may update these Terms from time to time; the version published on this page at the time your statement of work or proposal is accepted applies to that engagement. Where a signed statement of work conflicts with these Terms, the signed statement of work prevails.

2. Service descriptions & pricing

We provide cloud migration, managed cloud services, DevOps and infrastructure engineering, and Google Ads management. Services are described and priced in US Dollars (USD) as accurately as we can; every engagement is invoiced in USD. Published package prices may change without notice, but the price shown on your written proposal is the price you pay for that scope. Service scope, deliverables, timelines and assigned personnel may be adjusted by written agreement to improve the outcome. Third-party costs — cloud consumption, software licences and media spend — are billed directly by the provider and are not included in our fees unless stated. If we discover a pricing error on your proposal, we will contact you before work begins to confirm or cancel.

3. Engagement & payment

Submitting an enquiry or accepting a proposal creates an offer to engage. The engagement is accepted when we issue written confirmation and a start date. Payment is arranged offline by bank transfer: after you accept the proposal, an advisor sends the invoice and bank transfer details, and no charge is made online at any point. Project-based work is typically invoiced in milestones; retainer services are invoiced monthly in advance. We may suspend or decline an engagement where invoices are overdue, scope is clearly in error, or we suspect misuse of our systems or credentials.

4. Onboarding & service delivery

Once your engagement is confirmed we begin onboarding, typically within 1–2 business days, and provide access to your project workspace, named contacts and reporting schedule. Full details are on our Onboarding & Service Delivery page.

5. Refunds

You may request a refund within 30 days of your engagement being confirmed, under the conditions set out in our Refund Policy, which forms part of these Terms.

6. Service level guarantee

All services are covered by the commitments described on our Service Level Guarantee page, including uptime targets, response times, advertising performance remedies and the 30-day satisfaction guarantee. Nothing in these Terms limits any statutory rights that cannot be excluded.

7. Confidentiality & client credentials

Each party will keep the other's confidential information — architecture details, business data, pricing and campaign performance — confidential, and use it only to deliver or receive the services. We access client cloud and Google Ads accounts under delegated or manager access; account ownership always remains with you. We will not store your production secrets outside an agreed secrets manager, and we will return or destroy confidential material on request. Businesses, resellers and other partners can request custom programmes and enterprise terms by contacting info@chiliths.com. Written quotes are valid for 14 days from the date issued.

8. Accounts & access

You are responsible for keeping your site login details confidential, for activity under your account, and for granting us only the minimum access required to perform the work. Notify us promptly if you suspect unauthorised use of your account or of any credential we hold on your behalf.

9. Intellectual property

All content on the site — text, images, logos and design — is owned by or licensed to Chili Technology Inc and may not be reused without written permission. Deliverables we build for you — infrastructure code, documentation, runbooks, ad creatives and campaign structure — transfer to you on payment in full. We retain ownership of our pre-existing tools, templates and know-how, and grant you a perpetual licence to use them as embedded in the deliverables.

10. Limitation of liability

To the fullest extent permitted by law, our liability for any claim arising from an engagement is limited to the fees you paid for the relevant service in the three months preceding the claim. We are not liable for indirect or consequential loss, lost profits, or third-party platform outages and policy decisions outside our control. Nothing in these Terms excludes liability for fraud, personal injury or death caused by negligence, breach of confidentiality, or any other liability that cannot be excluded.

11. Term, termination, governing law & contact

Project engagements run until the deliverables are accepted. Retainer services continue month to month and either party may terminate with 30 days' written notice; fees for work already performed and non-cancellable third-party costs remain payable. Either party may terminate immediately for material breach that is not cured within 14 days of written notice. On termination we provide a handover of documentation and credentials, and assist with an orderly transition.
